Update Regarding Superior Court Holding that California's LLC Fee is Unconstitutional

Not surprisingly, the Franchise Tax Board objected to the San Francisco Superior Court's holding that California's LLC fee (which imposes an annual "fee" of up to $11,790 based on gross receipts) was unconstitutional because it violated the Commerce Clause and the Due Process Clause of the U.S. Constitution (at least with respect to the Washington-based LLC that had no economic connection to California).

At this stage, the ultimate resolution of this issue is unclear. However, in the meantime, LLCs registered in California must continue to pay the annual LLC fee, but may wish to file protective claims for refund as noted in our last Tax Briefs. We should have protective claims ready for affected clients shortly.
